Acceptance of terms

By accessing or using the website and services provided by RMC Analytics GmbH (“we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our website or services. These Terms constitute a legally binding agreement between you and RMC Analytics GmbH.

Services description

RMC Analytics GmbH provides professional data and IT consulting services, including but not limited to:

• Data analytics, business intelligence, and data warehouse design
• IT infrastructure assessment, optimization, and modernization
• Cloud migration and integration across AWS, Azure, and GCP
• Cybersecurity assessments, data protection, and compliance consulting
• Network optimization and secure remote access configuration
• System monitoring, maintenance, and proactive support
• Software and workflow automation, including CI/CD pipelines
• GDPR, ISO 27001, and regulatory compliance advisory

The specific scope, deliverables, and timeline for each engagement will be defined in a separate Statement of Work (SOW) or service agreement between the parties.

Client obligations

As a client of RMC Analytics GmbH, you agree to:

• Provide accurate, complete, and timely information necessary for service delivery.
• Designate a primary contact authorized to make decisions and provide approvals.
• Grant reasonable access to systems and resources required for the engagement.
• Make payments in accordance with the applicable service agreement or invoice.
• Refrain from using our services for any unlawful purpose.

Intellectual property

Unless otherwise agreed in writing, all intellectual property rights in deliverables created specifically for the client shall transfer to the client upon full payment. RMC Analytics GmbH retains ownership of all pre-existing intellectual property, tools, frameworks, methodologies, and general know-how developed independently of or prior to the engagement.

We reserve the right to use general knowledge, skills, and experience gained during the course of an engagement for future projects, provided that no client-specific confidential information is disclosed.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the engagement. Confidential information includes business strategies, technical specifications, source code, customer data, and financial information.

This obligation of confidentiality shall survive the termination of the service agreement for a period of three (3) years, unless a longer period is required by applicable law or a separate non-disclosure agreement.

Limitation of liability

To the maximum extent permitted by applicable law, RMC Analytics GmbH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with our services.

Our total aggregate liability for any claims arising under these Terms or any service agreement shall not exceed the total fees paid by the client to RMC Analytics GmbH during the twelve (12) months preceding the event giving rise to the claim.

Termination

Either party may terminate a service engagement by providing written notice in accordance with the terms specified in the applicable Statement of Work or service agreement. In the absence of specific termination provisions, either party may terminate with thirty (30) days’ written notice.

Upon termination, the client shall pay for all services rendered and expenses incurred up to the effective date of termination. Any provisions that by their nature should survive termination, including confidentiality, intellectual property, and limitation of liability, shall continue in full force and effect.

Governing law & jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Switzerland. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Canton of Zug, Switzerland.

Changes to terms

We reserve the right to modify or update these Terms at any time. Changes will be effective upon posting the revised Terms on our website with a new “Last updated” date. Your continued use of our services after any changes constitutes your acceptance of the updated Terms.
